The limit on such remuneration prescribed under Section 197 read with Schedule V to the Companies Act, 2013 (“the Act”) is ₹170.57 lakhs (March 31, 2025: ₹145.08 lakhs). The excess remuneration is primarily attributable to the value of commission payable to the other directors for the current year. The Company is in the process of obtaining approval from its shareholders at the forthcoming Annual General Meeting for the same by way of special resolution in accordance with the requirements of the Act. As per management’s assessment, the approval from shareholders for excess remuneration is probable.
